Terms Of Service

These Terms of Service (“Terms”) govern access to and use of YOU™, including creator accounts, registration of unique works, submission of evidence, review, digital certificates, verification records, qualified electronic timestamping, QR and NFC services, ownership transfers, provenance records and related services.
YOU™ is operated by:

References to “YOU™”, “Unidia”, “we”, “us” or “our” mean Unidia LLC.
By creating an account, submitting a Work, purchasing a service, accepting an Ownership Transfer or otherwise using YOU™, you agree to these Terms and any policies expressly incorporated into them.
If you are a consumer, nothing in these Terms excludes or limits rights that cannot lawfully be excluded or limited under applicable consumer-protection law.
1. What YOU™ is
YOU™ is an independent registration, documentation and verification service designed primarily for unique, individually identifiable physical artistic, handmade and collectible works.
YOU™ creates a structured digital record relating to one specific Work and may provide, depending on the selected service:
- identification of the Work;
- creator attribution;
- photographs and visual evidence;
- materials and dimensions;
- submitted supporting evidence;
- a permanent Registration ID;
- expert or procedural review;
- a Registration Manifest;
- cryptographic hashing;
- qualified electronic timestamping;
- a public or controlled verification page;
- a personalised digital Certificate;
- QR verification;
- NFC Passport functionality;
- ownership records;
- provenance information; and
- integrity and audit-history records.
YOU™ provides documentary and technical evidence concerning the information registered within the system.
A YOU™ registration does not itself constitute a government registration of copyright, trademark or title and does not constitute a court judgment concerning authorship, ownership, originality or infringement.
2. Purpose of a YOU™ Registration
The purpose of a YOU™ Registration Record is to document a specific Work, the information submitted concerning that Work and the history of relevant registration events.
The evidentiary value of a Registration Record may arise from a combination of:
- information supplied by the Applicant;
- visual documentation;
- supporting files;
- review procedures;
- registration chronology;
- cryptographic hashes;
- qualified electronic timestamps;
- Certificates;
- audit history; and
- subsequent provenance events.
A YOU™ record may support other evidence but does not replace all other forms of evidence.
Creators and owners are encouraged to retain relevant contracts, invoices, source photographs, correspondence, sketches, working files and other documentation concerning a Work.
3. Defined Terms
For these Terms:
Work means one specific individually documented physical artistic, handmade or collectible object submitted to YOU™.
Unique Work means one individually identifiable physical Work rather than an undifferentiated model, batch or production run.
Creator means the person or persons identified in a Registration Record as having created the Work. Such attribution is part of the Registration Record and is not a judicial determination of authorship.
Applicant means the person or organisation submitting the Work and representing that they have authority to do so.
Owner means the person recorded as owning the physical Work. Ownership of a physical Work is separate from ownership of copyright or other intellectual-property rights.
Registration Record means the structured digital record relating to a Work, including approved identifying information, evidence, registration history and status.
Registration Manifest means the finalised data representation prepared for cryptographic hashing and timestamping.
Hash means a cryptographic fingerprint calculated from electronic data.
Qualified Electronic Timestamp means an electronic timestamp satisfying the applicable qualification requirements under Regulation (EU) No 910/2014, as amended, commonly known as eIDAS.
QTSP means a Qualified Trust Service Provider whose relevant service has qualified status under the applicable European trusted-list framework.
Review Process means YOU™’s assessment of submitted information and evidence for completeness, consistency and compliance with registration requirements.
Certificate means the personalised digital Certificate generated from an approved Registration Record.
Verification Page means the digital record through which specified registration information may be verified.
NFC Passport means the connection between an NFC tag assigned to a Work and its Registration Record.
Ownership Transfer means a recorded change in ownership of the physical Work.
Provenance means the documented sequence of relevant ownership or historical events associated with a Work.
Dispute means a challenge concerning a Registration Record, creator attribution, ownership information, submitted material or other recorded claim.
4. Qualified Electronic Timestamp
Qualified electronic timestamping is an important part of the evidentiary architecture of YOU™ where the selected registration service includes such timestamping.
After the applicable Review Process has been completed, YOU™ may:
- finalise the Registration Manifest;
- generate a cryptographic hash or other technical representation of the relevant data;
- transmit the relevant information or hash to a QTSP;
- obtain qualified timestamp evidence;
- validate and store the resulting evidence; and
- associate that evidence with the relevant Registration Record.
An ordinary internal server date or database entry must not be represented as a Qualified Electronic Timestamp.
A Registration Record must not be represented as having received a Qualified Electronic Timestamp unless the required qualified timestamp process has actually been completed.
5. Meaning and limitations of the Qualified Electronic Timestamp
Under applicable eIDAS rules, a Qualified Electronic Timestamp may benefit from a legal presumption concerning:
- the accuracy of the date and time indicated; and
- the integrity of the data to which that date and time are bound.
A Qualified Electronic Timestamp does not, by itself:
- determine who physically created the Work;
- establish copyright ownership;
- establish ownership of the physical object;
- establish worldwide originality;
- prove that no similar Work previously existed;
- constitute a worldwide copyright search;
- determine whether another person has superior rights;
- determine whether infringement has occurred; or
- determine the outcome of a legal dispute.
YOU™ therefore does not describe qualified timestamping as absolute proof of authorship or intellectual-property ownership.
6. QTSP status and service availability
YOU™ will describe a timestamp as a Qualified Electronic Timestamp only where the relevant trust service has the legally required qualified status.
If a required QTSP, timestamp service or validation infrastructure is unavailable, the affected registration may remain pending until the required process has been completed.
YOU™ will not substitute an ordinary internal timestamp and represent it as a Qualified Electronic Timestamp.
Existing records do not retrospectively acquire qualified status merely because qualified timestamp functionality is subsequently introduced or changed.
7. Eligibility and legal capacity
You may use YOU™ only if you have legal capacity to enter into the relevant contract under applicable law.
If you act on behalf of another creator, studio, gallery, company, estate or organisation, you represent that you have sufficient authority to act on its behalf.
YOU™ contractual services are not intended to be independently purchased by persons who lack the legal capacity required under applicable law.
Where required, a parent, legal guardian or other authorised representative must act on behalf of such person.
8. Accounts
YOU™ may provide different account types, including Creator/Artist and User/Collector accounts.
Depending on the available functionality, users may be able to:
- submit Works;
- upload evidence;
- manage registration information;
- purchase Certificates;
- download Certificates;
- obtain QR or NFC services;
- initiate or accept Ownership Transfers;
- manage owned Works;
- review provenance; and
- access verification information.
The existence or type of an account does not itself establish authorship, copyright ownership or ownership of a physical Work.
You must provide materially accurate account information and take reasonable measures to protect your login credentials.
You must notify YOU™ promptly if you reasonably believe your account has been compromised.
9. Eligible Works
YOU™ is primarily intended for unique physical artistic, handmade and collectible objects, including:
- art dolls;
- art objects;
- sculptures;
- paintings;
- artistic panels;
- design objects;
- handmade objects;
- handmade jewellery;
- costume jewellery; and
- other unique physical artistic or handmade Works accepted by YOU™.
One Registration Record normally represents one individually identifiable physical Work.
YOU™ registration must not be used to represent an undifferentiated production batch, mass-produced model or multiple objects as one unique physical Work unless a particular YOU™ service expressly permits this.
Digital works or other categories may be governed by separate submission rules where YOU™ makes such registration available.
10. Applicant declarations
By submitting a Work, you represent and confirm, to the best of your knowledge and belief, that:
- the information provided is materially accurate;
- you created the Work or have sufficient authority to register it;
- you are not knowingly presenting another person’s Work as your own;
- relevant co-creators or third-party contributions have been disclosed where required;
- submitted photographs and other materials relate to the identified Work;
- you have the necessary rights to upload and use submitted content for registration purposes; and
- your submission does not knowingly violate another person’s copyright, trademark, privacy, publicity or other legal rights.
YOU™ may rely upon these declarations when providing the service.
Approval of a registration does not transform an inaccurate or fraudulent declaration into an independently verified legal fact.
11. Content ownership
As between you and Unidia, you retain the rights that you hold in photographs, descriptions, documents and other content submitted by you.
Submission to YOU™ does not transfer your copyright to Unidia LLC.
12. Licence necessary to operate YOU™
You grant Unidia LLC a worldwide, non-exclusive, royalty-free licence to:
- host;
- store;
- copy;
- technically process;
- resize;
- convert;
- hash;
- analyse;
- review; and
- display
submitted material to the extent reasonably necessary to operate the YOU™ service requested by you.
This includes processing reasonably necessary to:
- review a registration;
- create and maintain a Registration Record;
- create a Registration Manifest;
- calculate cryptographic hashes;
- obtain timestamps;
- generate Certificates;
- provide verification;
- provide QR or NFC functionality;
- maintain audit history;
- prevent abuse or fraud;
- resolve disputes; and
- comply with applicable law.
Public display is limited to information authorised or designated for public verification or otherwise lawfully disclosed.
Separate promotional or advertising use of submitted content must have an appropriate legal basis and, where required, separate permission.
13. Submission requirements
YOU™ may establish submission requirements according to the type of Work.
Registration of a physical Work may require information including:
- Work type;
- Work title;
- declared creation date;
- category;
- materials;
- additional elements;
- dimensions;
- description;
- overview photograph;
- front photograph;
- back photograph;
- side photograph;
- top photograph;
- bottom photograph;
- video; and
- supporting evidence where required.
YOU™ may adapt these requirements where the physical characteristics of a particular category make a standard view unnecessary or inappropriate.
Submitted files must comply with applicable technical requirements.
14. Review Process
YOU™ may review submitted information for matters including:
- completeness;
- internal consistency;
- correspondence between information and submitted files;
- visible identifying characteristics;
- duplicate or suspicious registrations;
- apparent inconsistencies;
- compliance with registration rules; and
- other factors reasonably relevant to registration integrity.
YOU™ may:
- approve a registration;
- request additional information;
- request corrections;
- suspend processing;
- reject an application; or
- place a registration into disputed status.
15. Limitations of the Review Process
The Review Process is not:
- a judicial proceeding;
- a government copyright examination;
- a worldwide copyright search;
- a worldwide originality search;
- a forensic authenticity investigation;
- a professional appraisal;
- an insurance assessment;
- a legal opinion; or
- a guarantee against fraud.
YOU™ does not guarantee that review will discover every false statement, copied Work, prior Work or third-party right.
16. Registration date and Registration ID
YOU™ may assign a unique Registration ID after completion of the applicable registration procedure.
The following dates must remain distinguishable where applicable:
- declared creation date;
- submission date;
- review date;
- registration date;
- qualified timestamp date; and
- Certificate issuance date.
A user may not backdate a YOU™ Registration Record.
A declared creation date is information concerning the Work and must not be confused with the independently recorded date of registration or timestamping.
17. Personalised digital Certificate
A YOU™ Certificate is a personalised digital document generated in relation to a specific Registration Record.
A Certificate may contain information including:
- Registration ID;
- creator attribution;
- Work title;
- category;
- materials;
- dimensions;
- description;
- photographs;
- registration date;
- qualified timestamp information;
- verification information;
- Certificate status; and
- QR verification data.
The Certificate reflects the relevant Registration Record at the time it is generated.
A Certificate may subsequently be identified as:
- current;
- updated;
- superseded;
- corrected;
- disputed;
- suspended; or
- revoked
where appropriate.
18. Verification Page
A Verification Page may make selected information concerning a Registration Record accessible to third parties.
Verification allows a person to confirm information recorded by YOU™ concerning the Registration Record.
Verification does not mean that Unidia independently guarantees every legal statement made by the Applicant.
Private evidence, source files, account information or other non-public data will not ordinarily be displayed unless disclosure is authorised or required by law.
19. Audit and integrity history
YOU™ may maintain a cryptographically protected, tamper-evident and integrity-verifiable history of material registration events.
Events may include:
- submission;
- review;
- approval;
- hash generation;
- timestamping;
- Certificate generation;
- corrections;
- Ownership Transfers;
- disputes;
- suspensions;
- revocations; and
- other status changes.
Where implemented, events may be cryptographically linked or signed in order to make unauthorised alteration detectable under the technical assumptions of the system.
YOU™ does not claim that any computer system is physically or mathematically incapable of every possible compromise or alteration.
Material historical events should ordinarily be appended to the audit history rather than silently overwritten.
20. Corrections and amendments
Users must notify YOU™ if they discover a material error in a Registration Record.
YOU™ may distinguish between:
Minor corrections, which do not materially change the identity or evidentiary meaning of the registration; and
Material corrections, which may require further review, a new Registration Manifest, new hash, new timestamp event or updated Certificate.
Corrections must not be used to:
- replace one registered Work with another;
- falsify chronology;
- change historical facts;
- disguise an Ownership Transfer; or
- misrepresent evidence.
21. Immediate performance and NO-REFUND policy
YOU™ provides personalised digital registration and certification services created specifically for an individual Work.
When purchasing a paid Certificate, registration-related service or another personalised YOU™ service, the customer requests that YOU™ begin performance without waiting for the expiry of any otherwise applicable cancellation or withdrawal period.
Performance may include:
- processing registration data;
- processing submitted evidence;
- reviewing the Work;
- preparing the Registration Record;
- finalising the Registration Manifest;
- calculating cryptographic information;
- processing timestamp information;
- generating verification data;
- assigning registration information; and
- creating and delivering the personalised digital Certificate.
Completed services are non-refundable
Once the purchased personalised service has been fully performed and the corresponding personalised digital registration result or Certificate has been generated, issued or made available to the customer, the purchase is final and non-refundable, except where mandatory applicable law requires a remedy.
YOU™ does not provide refunds merely because a customer:
- changes their mind;
- no longer wishes to register the Work;
- decides not to use the Certificate;
- removes the Work from sale;
- sells or gives away the Work;
- later decides that registration is unnecessary;
- no longer needs the Certificate;
- expected a different commercial benefit from registration; or
- does not use the Verification Page or other resulting digital records.
The service concerns creation and processing of an individual registration record and personalised digital evidence for the customer’s specific Work. It cannot meaningfully be returned to YOU™ after performance in the same manner as an unused physical product.
22. EU/EEA consumer withdrawal rights and immediate performance
Consumers in the European Union or European Economic Area may ordinarily have statutory withdrawal rights for certain distance contracts.
However, EU law also permits the right of withdrawal to end in circumstances involving fully performed services where the applicable statutory requirements have been satisfied.
Where an EU/EEA consumer purchases a YOU™ personalised service, YOU™ will require the consumer to expressly request that performance begin immediately, before expiry of the ordinary withdrawal period.
The consumer must also acknowledge that once the service has been fully performed, the statutory right of withdrawal is lost to the extent permitted by applicable law.
YOU™ will therefore obtain the required request, consent and acknowledgment through the checkout process rather than relying solely on general acceptance of these Terms.
Once the personalised service has been fully performed and the Certificate or other personalised registration result has been generated or issued, there is no right to cancel merely because the customer has changed their mind.
Nothing in this section excludes a remedy that cannot legally be excluded where YOU™ fails to provide the contracted service or the service is not in conformity with mandatory consumer law.
23. Required EU checkout acknowledgment
Where applicable, the checkout process should require an affirmative action substantially equivalent to:
“I expressly request that YOU™ begin providing the personalised registration and certification service immediately. I understand and acknowledge that once the service has been fully performed and my personalised digital Certificate or registration result has been issued, I will lose my statutory right of withdrawal.”
This consent must not be inferred solely from acceptance of general Terms.
Where legally required, confirmation of the customer’s consent and contract must be provided on a durable medium.
24. Withdrawal before full performance
Where mandatory EU law permits a consumer to withdraw before the service has been fully performed, notwithstanding the consumer’s request for immediate commencement, the consequences of withdrawal will be determined by applicable law.
Where legally permitted, the consumer may be required to pay for the proportion of services already performed before valid withdrawal.
This provision does not alter the rule that, once the relevant statutory conditions have been satisfied and the personalised service has been fully performed, the ordinary change-of-mind withdrawal right is lost.
25. Rejected, incomplete or non-compliant submissions
Where a paid service includes substantive review or processing, payment covers the work actually performed by YOU™ in connection with that review and processing.
A registration being rejected, paused, returned for correction or restricted does not automatically create a right to a refund where the contracted processing or review service has already been provided.
This may include cases involving:
- incomplete information;
- inaccurate information;
- insufficient evidence;
- failure to meet eligibility requirements;
- suspected misrepresentation;
- intellectual-property concerns;
- failure to respond to requests for information;
- submission of an ineligible Work; or
- violation of these Terms or submission rules.
Nothing in this section excludes mandatory statutory remedies.
26. Duplicate payments and payment errors
The No-Refund Policy does not prevent correction of:
- duplicate charges;
- confirmed billing errors;
- unauthorised transactions governed by applicable payment law;
- charges for a service that YOU™ did not provide; or
- other circumstances in which reimbursement is mandatory by law.
Correction of such an error does not create a general refund right for properly performed personalised services.
27. Prices and payment
Current prices, applicable taxes, shipping charges and material service conditions are displayed on the relevant pricing or checkout page before purchase.
Available paid services may include:
- Certificates;
- NFC Passport;
- Ownership Transfer;
- registration-related services; and
- other services introduced by YOU™.
YOU™ may change prices for future purchases.
A price change does not retrospectively change the price of a completed purchase.
28. Payment providers
Payments may be processed through WooCommerce and independent payment-service providers.
Additional terms and privacy policies of those providers may apply.
You agree to provide materially accurate billing information and authorise the amount clearly displayed during checkout.
YOU™ may restrict paid features in connection with:
- failed payments;
- reversed payments;
- chargebacks;
- unauthorised transactions;
- suspected payment fraud; or
- other material payment disputes.
29. Subscriptions and recurring services
If YOU™ offers automatically renewing subscriptions, the material terms will be disclosed before purchase, including where applicable:
- price;
- billing frequency;
- renewal terms;
- applicable taxes;
- introductory period;
- renewal date; and
- cancellation method.
Cancellation of a recurring subscription stops future renewals subject to applicable rules.
Cancellation does not normally erase registration history, qualified timestamps, previously issued Certificates, provenance information or other integrity records already created.
30. QR codes and NFC Passport
QR codes and NFC tags provide a technical connection between a physical object or document and a YOU™ digital Registration Record.
An NFC tag does not by itself prove that the tagged physical object is authentic.
A physical tag may be:
- damaged;
- removed;
- lost;
- copied;
- transferred;
- substituted; or
- otherwise compromised.
Users must not deliberately move an assigned NFC tag to an unrelated Work.
A lost, damaged or potentially compromised tag should be reported to YOU™.
Replacement may require a controlled procedure and corresponding update to the Registration Record.
31. Ownership Transfers
YOU™ may allow users to record the transfer of ownership of a physical Work.
An Ownership Transfer records information concerning a transaction or transfer represented by the participating users.
It does not automatically replace any legally required:
- sales contract;
- invoice;
- inheritance document;
- customs declaration;
- export document;
- tax document;
- gift agreement; or
- government title record.
Unless separately agreed, transfer of ownership of the physical Work does not transfer copyright or other intellectual-property rights.
Creator attribution may remain associated with the Work after ownership changes.
32. Provenance
YOU™ may maintain provenance information concerning a Work.
Provenance may include recorded:
- ownership events;
- transfer dates;
- Certificate events;
- registration events;
- NFC events;
- dispute events; and
- other material historical information.
Provenance reflects information recorded within YOU™ and must not be represented as an exhaustive guarantee of the complete external history of a Work unless expressly stated.
33. Product compliance remains separate
YOU™ registration is a registration, documentation and evidentiary service.
It does not replace legal obligations applicable to manufacturers, creators, sellers, importers, distributors or other economic operators.
Depending on the Work and circumstances, separate obligations may apply concerning:
- general product safety;
- risk assessments;
- technical documentation;
- labelling;
- traceability;
- consumer information;
- toy safety;
- chemical or material restrictions;
- CE-related obligations;
- GPSR requirements; or
- Digital Product Passport requirements.
YOU™ must not be represented as replacing compliance with such obligations.
YOU™ is not the official EU Digital Product Passport Registry and does not constitute a legally required Digital Product Passport unless a separate service expressly satisfies all applicable legal requirements.
34. Prohibited conduct
Users must not:
- knowingly register another person’s Work as their own;
- register a Work without sufficient authority;
- impersonate another creator;
- knowingly falsify a creation date;
- knowingly falsify evidence;
- submit fabricated provenance;
- submit misleading photographs;
- manipulate registration information;
- transfer an NFC tag to an unrelated Work;
- misuse another user’s personal information;
- upload malware;
- attack or interfere with the service;
- circumvent access controls;
- scrape non-public information without authorisation;
- use YOU™ to facilitate fraud;
- upload illegal content; or
- intentionally infringe the rights of others.
YOU™ may adopt additional Acceptable Use rules.
35. Copyright and intellectual-property complaints
YOU™ may restrict access to a Registration Record or place it into disputed status after receiving a sufficiently supported complaint concerning intellectual-property rights.
YOU™ may request information or evidence from:
- the complainant;
- the Applicant;
- the Creator;
- the recorded Owner; or
- other relevant parties.
YOU™ does not act as a court and does not make binding judicial determinations concerning copyright infringement or ownership.
Where appropriate, the Registration Record and audit history may be preserved even where public access is restricted.
36. United States DMCA procedure
Where applicable, copyright complaints concerning user-submitted material may be handled under the United States Digital Millennium Copyright Act.
YOU™ may maintain a separate DMCA Policy describing:
- infringement notifications;
- required notice information;
- counter-notifications;
- repeat-infringer measures; and
- the designated DMCA agent.
Where Unidia seeks protection under the applicable DMCA safe-harbour provisions, the designated agent must be properly registered with the U.S. Copyright Office and appropriate contact information must be made publicly available.
Nothing in these Terms should be interpreted as stating that such designation has occurred unless it has actually been completed.
37. EU illegal-content notices and Digital Services Act
Where the European Union Digital Services Act applies to YOU™, YOU™ will maintain the notice-and-action mechanisms required for the relevant service category.
A person or entity may submit a sufficiently precise and adequately substantiated notice concerning specific information considered illegal.
Where legally required, YOU™ may:
- assess the notice;
- request additional information;
- restrict or remove content;
- notify affected users;
- preserve evidence;
- provide reasons for a decision; and
- provide applicable redress information.
Removal of information from public access does not necessarily require destruction of underlying Registration Records where continued retention is lawful and necessary.
38. EU legal representative
Where Article 13 of the Digital Services Act or another applicable rule requires a provider established outside the European Union to designate a legal representative within the Union, Unidia will publish the relevant representative information after such designation has actually been completed.
No person or entity must be identified as YOU™’s statutory EU representative unless a valid appointment exists.
39. Suspension and termination
YOU™ may restrict, suspend or terminate an account or Registration Record where reasonably necessary because of:
- material breach of these Terms;
- fraud;
- suspected fraud;
- false registration information;
- intellectual-property complaints;
- illegal content;
- security risk;
- abuse;
- non-payment;
- chargeback abuse;
- legal requirement; or
- material risk to YOU™, its users or the integrity of Registration Records.
Where appropriate and legally required, YOU™ may provide notice and an opportunity to respond.
Immediate action may be taken where reasonably necessary to protect users, evidence, legal rights or system security.
40. Account closure
A user may request closure of their account subject to:
- outstanding payment obligations;
- active disputes;
- legal retention obligations;
- fraud-prevention requirements;
- evidence-preservation requirements; and
- integrity requirements concerning previously created Registration Records.
Closing an account does not automatically erase historically valid registration, timestamp, Certificate, Ownership Transfer or provenance events.
41. Personal data and privacy
Personal data is processed in accordance with the YOU™ Privacy Policy and applicable data-protection law.
Where the GDPR applies, processing will be subject to applicable principles including:
- lawfulness;
- fairness;
- transparency;
- purpose limitation;
- data minimisation;
- accuracy;
- storage limitation;
- integrity and confidentiality; and
- accountability.
Only information appropriate for public verification should ordinarily be displayed publicly.
The need to maintain an evidentiary registration history does not necessarily mean that all associated personal information must remain publicly available indefinitely.
Where appropriate and legally permissible, YOU™ may separate, restrict, pseudonymise or otherwise protect personal data while preserving necessary integrity evidence.
42. Service availability
YOU™ uses reasonable efforts to maintain the service but does not guarantee uninterrupted availability.
Service availability may be affected by:
- maintenance;
- security incidents;
- hosting failures;
- internet failures;
- payment-provider failures;
- QTSP outages;
- external API failures;
- force-majeure events;
- government restrictions; or
- other circumstances outside reasonable control.
Failure or delay of a third-party provider may delay completion of a registration dependent on that provider.
43. Changes to the service
YOU™ may improve, change, replace or discontinue features where reasonably necessary.
Material changes affecting existing contractual rights will be handled in accordance with applicable law.
Changes to the service do not retrospectively:
- change historical timestamp evidence;
- change historical Registration Records without an auditable event;
- convert a non-qualified timestamp into a Qualified Electronic Timestamp; or
- remove mandatory consumer rights.
44. Changes to these Terms
YOU™ may update these Terms to reflect:
- changes in law;
- regulatory requirements;
- technical changes;
- security requirements;
- new functionality;
- changes to service providers; or
- changes in the YOU™ business model.
The latest revision date will be displayed at the beginning of these Terms.
Where applicable law requires advance notice, consent or another procedure for material contractual changes, YOU™ will follow that requirement.
45. Third-party services
YOU™ may rely upon third-party providers including:
- payment processors;
- web-hosting providers;
- cloud providers;
- email providers;
- QTSPs;
- security providers;
- shipping providers;
- analytics providers; and
- other infrastructure providers.
Such providers may operate under their own terms and privacy policies.
YOU™ remains responsible for its own obligations to the extent required by applicable law but cannot guarantee uninterrupted operation of independent third-party systems.
46. No legal, appraisal, insurance or government service
Unless expressly agreed under a separate written engagement, Unidia LLC and YOU™ do not act as:
- a law firm;
- your lawyer;
- your legal representative;
- a court;
- a copyright office;
- a trademark office;
- a government registry;
- a professional appraiser;
- an auction house;
- an insurer;
- a customs authority; or
- a law-enforcement authority.
General information published by YOU™ concerning laws, evidence, intellectual property or regulatory requirements is informational and does not constitute individual legal advice.
47. No guarantee of legal outcome
YOU™ does not guarantee that:
- registration will prevent copying;
- registration will prevent infringement;
- a third party will recognise the Certificate as conclusive evidence;
- a court will assign a particular evidentiary weight to a Registration Record;
- a Certificate will establish copyright ownership;
- an NFC tag cannot be copied or moved;
- a registered Work is free from all third-party claims;
- a Work will retain or increase its value; or
- registration will produce any specific legal or commercial outcome.
A YOU™ Registration Record is one potential component of an evidentiary record.
48. Disclaimers
To the maximum extent permitted by applicable law, YOU™ is provided without warranties that are not expressly stated in these Terms.
Nothing in these Terms excludes:
- statutory guarantees;
- statutory conformity rights;
- mandatory consumer remedies; or
- other rights that cannot legally be waived.
49. Limitation of liability
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law.
Subject to that rule, and to the maximum extent permitted by law, Unidia LLC is not liable for indirect, incidental, special or consequential losses arising from:
- inaccurate information submitted by a user;
- unlawful content submitted by a user;
- unauthorised conduct of a user;
- independent actions of third parties; or
- commercial decisions made solely in reliance upon a Registration Record.
Where liability may lawfully be capped, aggregate liability arising from the affected paid YOU™ service will not exceed the greater of:
- the amount paid by the claimant for the affected service during the twelve months preceding the event giving rise to the claim; or
- any minimum liability required by mandatory applicable law.
These limits do not apply where limitation is prohibited, including where applicable in cases involving:
- fraud;
- intentional misconduct;
- gross negligence where it cannot lawfully be excluded;
- death or personal injury where liability cannot lawfully be excluded; or
- mandatory consumer rights.
50. Business-user indemnity
To the extent permitted by applicable law, a user acting for business or professional purposes agrees to indemnify Unidia against third-party claims and reasonable costs directly arising from:
- knowingly false information submitted by that user;
- material submitted without necessary rights;
- fraudulent use of YOU™; or
- a material violation of these Terms.
This section does not impose an indemnity upon consumers where doing so would be prohibited or unfair under applicable consumer law.
51. Electronic contracting
You agree that contracts, confirmations, records and notices may be created and delivered electronically where permitted by applicable law.
Clicking or otherwise affirmatively selecting an acceptance mechanism may constitute evidence of your agreement.
Nothing in this section removes any legal requirement that a particular transaction satisfy a specific form or disclosure requirement.
52. United States users
For users in the United States, applicable federal and state law may provide rights concerning matters including:
- electronic contracting;
- consumer protection;
- privacy;
- copyright;
- payment transactions; and
- unfair or deceptive practices.
Nothing in these Terms eliminates rights that applicable federal or state law makes non-waivable.
State-specific rules may apply depending upon the user’s residence and the nature of the transaction.
53. European Union and EEA users
Users in the European Union or European Economic Area may have mandatory rights under EU and national law concerning matters including:
- consumer contracts;
- withdrawal;
- digital services;
- conformity;
- unfair contract terms;
- data protection;
- online intermediary services;
- electronic trust services; and
- jurisdiction.
Nothing in these Terms is intended to deprive an EU/EEA consumer of mandatory protections applicable to that consumer.
54. Governing law
Except where mandatory law provides otherwise, these Terms and the contractual relationship between the user and Unidia LLC are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules.
Consumers
If you are a consumer, this choice of law does not deprive you of protections provided by mandatory provisions of the law that would otherwise apply to your contract.
In particular, where applicable EU conflict-of-law rules protect a consumer based upon their habitual residence, those mandatory protections remain unaffected.
55. Jurisdiction and disputes
Before commencing formal proceedings, users are encouraged to contact YOU™ so that the parties may attempt to resolve the matter.
For business users, and to the extent permitted by applicable law, proceedings may be brought before courts having jurisdiction in Delaware, United States.
Consumers
Nothing in these Terms requires a consumer to bring proceedings exclusively in Delaware where applicable law provides the consumer with another mandatory jurisdictional right.
Where applicable European rules provide that a consumer may bring proceedings before courts at the consumer’s domicile, those rights remain unaffected.
Nothing in these Terms establishes mandatory arbitration unless the parties separately enter into a legally valid arbitration agreement.
56. Severability
If any provision of these Terms is held invalid, unlawful or unenforceable, that provision will be limited or disregarded only to the extent necessary under applicable law.
The remaining provisions will continue to apply where legally possible.
Nothing in this provision authorises replacement of an unfair consumer term in a manner prohibited by mandatory consumer law.
57. No waiver
Failure by Unidia to enforce a contractual right on one occasion does not permanently waive that right or any other contractual right.
58. Assignment
A user may not transfer account rights in a manner designed to circumvent identity, security or Ownership Transfer procedures.
Unidia may transfer its contractual rights or obligations in connection with a merger, restructuring, financing, acquisition or sale of the YOU™ business where permitted by law and without reducing mandatory consumer rights.
An Ownership Transfer of a registered Work is separate from assignment of the YOU™ service contract.
59. Entire agreement
These Terms, together with applicable transaction-specific terms and policies expressly incorporated into them, constitute the agreement governing use of YOU™.
Additional policies may include:
- Privacy Policy;
- No-Refund & Cancellation Policy;
- Cookie Policy;
- Acceptable Use Policy;
- Copyright & Dispute Policy;
- DMCA Policy;
- NFC Passport Terms; and
- category-specific submission rules.
Where transaction-specific terms expressly conflict with these Terms, the more specific valid term applies to that transaction unless prohibited by law.
